1. Agreement to these Terms
These Terms of Service (the “Terms”) are a binding agreement between you and the operator of Colzera (“Colzera,” “we,” “us,” or “our”). They govern your access to Colzera’s websites, applications, decision reports, research tools, account features, and related services (collectively, the “Service”).
By creating an account, selecting an acceptance control, purchasing a subscription, or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service. If you use Colzera for an organization, you represent that you have authority to bind it, and “you” includes that organization.
2. Eligibility and authority
You must be at least 18 years old and legally capable of entering a contract. A minor may use the Service only through an account created and supervised by a parent or legal guardian. You may not use the Service if applicable law prohibits it or if we previously suspended you for a serious violation.
3. The Service and AI limitations
Colzera helps users structure decisions, compare scenarios, research current information, preserve assumptions, and build possible timelines. The Service uses probabilistic artificial intelligence. It can misunderstand instructions, omit facts, produce incorrect or outdated material, or reach a different conclusion from a qualified professional.
Colzera does not provide legal, financial, investment, tax, medical, mental-health, insurance, engineering, appraisal, brokerage, or other regulated professional advice. Reports, confidence labels, modeled ranges, property matches, and timelines are informational decision-support tools. You remain responsible for verifying material facts and deciding whether and how to act. For high-stakes or irreversible decisions, consult an appropriately licensed professional.
4. Accounts and security
Provide accurate account information, maintain the confidentiality of your login credentials, and promptly notify us through the support channel available in the Service if you suspect unauthorized access. You are responsible for activity under your account unless caused by our breach of these Terms. You may not share an individual account in a way that avoids plan limits or impersonate another person.
5. Plans, billing, and renewal
Free and paid plan limits, included features, prices, billing intervals, and any fair-use restrictions are shown on the Pricing page or an applicable order form. If you purchase a paid plan, you authorize the disclosed recurring charges, plus applicable taxes, using your selected payment method.
Monthly and annual subscriptions renew automatically for the same interval until canceled. You may cancel before the next renewal through the available account or billing controls. Cancellation takes effect at the end of the paid period unless the checkout terms say otherwise. Except where law requires otherwise, charges already paid are nonrefundable. We will provide renewal, price-change, and cancellation notices when required by law. Material price increases apply no earlier than the next renewal after notice.
We may suspend paid features for failed payment after reasonable notice and an opportunity to cure. An order form may add negotiated payment terms; if it conflicts with these Terms, the order form controls for that purchase.
6. License and restrictions
Subject to these Terms and applicable plan limits, Colzera grants you a limited, nonexclusive, nontransferable, revocable right to access and use the Service for your personal purposes or your organization’s internal business purposes.
You may not resell, sublicense, commercially exploit, copy, frame, or create a competing service from Colzera; reverse engineer or attempt to discover source code except where law expressly permits; bypass security, usage, or access controls; scrape the Service at scale; use automated means that burden or disrupt it; remove proprietary notices; or use the Service or its outputs to train a competing model without our written permission.
7. Your content and data rights
You retain ownership of information, prompts, profile values, files, feedback, decision outcomes, and other material you submit (“User Content”). You grant Colzera a worldwide, nonexclusive license to host, copy, transmit, process, display, and otherwise use User Content only as reasonably necessary to operate, secure, support, and improve the Service and to comply with law.
You represent that you have the rights and permissions needed to submit User Content. Do not provide passwords, authentication secrets, government identifiers, complete financial account numbers, private medical records, another person’s confidential information without authority, or data prohibited by law.
We may use aggregated or de-identified service data that cannot reasonably identify you to measure performance, prevent abuse, and improve Colzera. Colzera does not use your approved profile to retrain the underlying third-party foundation model unless we clearly disclose that use and obtain any consent required by law.
8. Outputs, sources, and third parties
As between you and Colzera, and to the extent permitted by law, you may use outputs generated for you. AI outputs may not be unique, and other users may receive similar material. We do not promise that an output is copyrightable, noninfringing, complete, or fit for a particular purpose.
Live research, homes, jobs, prices, rates, availability, maps, and other third-party material can change without notice. A displayed link or preview is not an endorsement, agency relationship, brokerage service, or guarantee that the item remains available or that its description is accurate. Verify information with the original source and relevant professionals before acting. Third-party websites and services are governed by their own terms and privacy practices.
9. Acceptable use
Do not use the Service to violate law or another person’s rights; facilitate fraud, discrimination, harassment, stalking, violence, self-harm, exploitation, or illegal transactions; generate malware or defeat security measures; make solely automated decisions that produce unlawful or materially harmful effects on a person; misrepresent AI output as verified professional advice; or submit content you are not authorized to use. We may investigate misuse and cooperate with lawful requests.
10. Privacy, security, and confidentiality
Our Privacy Policy explains how we handle personal information. We use reasonable administrative, technical, and organizational safeguards, but no online system is completely secure. You are responsible for deciding whether the Service is appropriate for the sensitivity and regulatory requirements of your information.
These Terms do not create a separate nondisclosure agreement. Business customers needing special confidentiality, security, data-processing, retention, breach-notice, insurance, or regulatory commitments must obtain them in a signed enterprise agreement or data processing addendum.
11. Availability, support, and changes
We aim to keep Colzera available, but the Service is provided without a guaranteed service level unless a signed order form includes one. Maintenance, provider outages, internet failures, security events, force majeure, and changes to third-party services may interrupt access.
We may improve, add, remove, or change features. For paid users, we will use commercially reasonable efforts to give advance notice before a change that materially reduces core purchased functionality. If we permanently discontinue a paid Service before the end of a prepaid period, we may provide a reasonable replacement or a prorated refund for the unused portion as the applicable order terms or law require.
12. Colzera ownership and feedback
Colzera and its licensors own the Service, software, interfaces, visual design, models and prompts created by us, documentation, trademarks, and all related intellectual-property rights, excluding User Content and rights expressly granted to you.
If you provide ideas or feedback, you grant us a perpetual, worldwide, royalty-free right to use them without restriction or compensation. We will not use your name, trademarks, or logo in public marketing without your permission.
13. Suspension and termination
You may stop using Colzera at any time and may cancel a paid subscription as described above. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay after notice, or use the Service abusively. Where practical, we will provide notice and a reasonable opportunity to cure.
After termination, your license ends. We may delete or de-identify stored information according to the Privacy Policy, legal obligations, backups, and any applicable order form. Provisions that by their nature should survive—including ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute terms—will survive.
14. Disclaimers
To the maximum extent permitted by law, the Service and all outputs are provided “as is” and “as available.” Colzera disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and any warranty arising from course of dealing or usage of trade. We do not warrant that outputs will be correct, that sources or listings will remain available, that the Service will be uninterrupted or error-free, or that using an output will achieve a particular result.
Some jurisdictions do not permit certain warranty exclusions, so parts of this section may not apply to you.
15. Limitation of liability
To the maximum extent permitted by law, neither Colzera nor its suppliers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, goodwill, opportunity, or anticipated savings; or the cost of substitute services, arising from or related to the Service, even if advised that such harm was possible.
To the maximum extent permitted by law, the aggregate liability of Colzera and its suppliers for all claims relating to the Service will not exceed the greater of (a) the amount you paid Colzera for the Service during the 12 months before the event giving rise to the claim or (b) US $100. These limits do not exclude liability that cannot legally be limited, including where applicable liability for fraud, willful misconduct, or death or personal injury caused by negligence.
16. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Colzera and its personnel from third-party claims, damages, and reasonable costs arising from your unlawful use of the Service, your material breach of these Terms, or User Content that infringes another person’s rights. This obligation does not apply to the extent a claim was caused by Colzera’s own breach, negligence, or willful misconduct. We will provide reasonable notice and cooperation and will not settle a claim in a way that admits your fault or imposes a nonmonetary obligation on you without consent.
17. Governing law and disputes
Before filing a formal claim, each party agrees to give the other written notice describing the dispute and to try in good faith for 30 days to resolve it informally. These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law rules. Unless applicable consumer law requires otherwise, disputes will be brought in the state or federal courts serving Montgomery County, Maryland, and each party consents to those courts’ jurisdiction.
Nothing in this section prevents either party from seeking urgent injunctive relief to protect accounts, confidential information, or intellectual property, or from bringing an eligible claim in small-claims court. Mandatory consumer protections in your home jurisdiction remain unaffected.
18. Changes and notices
We may update these Terms. If a change materially reduces your rights, we will provide reasonable advance notice through the Service, by email, or by another legally permitted method. Changes take effect on the stated date. Continued use after that date constitutes acceptance where permitted by law; if you do not agree, stop using the Service and cancel before the change takes effect.
You agree that we may send operational, legal, security, billing, and account notices electronically. Notices to you may be sent to the email associated with your account or displayed in the Service.
19. General terms
You may not assign these Terms without our written consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets if the successor accepts these Terms. We may assign them to an affiliate or successor. Neither party is liable for delay caused by events beyond its reasonable control.
If a provision is unenforceable, it will be modified only as much as necessary and the remainder will continue. Failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, the Pricing page, and any applicable order form are the entire agreement about the Service. Headings are for convenience only. An order form controls over these Terms only to the extent it expressly identifies a conflict.

Questions, legal notices, or privacy requests may be submitted through the support contact made available in your Colzera account. We may require reasonable verification before acting on an account or data request.
